What this site is, what we promise, and what we do not.
Plain terms covering the website and how we engage clients. The written agreement signed for a specific project always takes precedence over this page.
1. About these terms
These terms govern your use of razzstack.com and describe the principles on which RazzStack (“we”, “us”) engages clients. By using this website you accept them.
RazzStack is currently operated by its two founders and is not yet incorporated as a registered legal entity. This page will be updated with the registered name and governing jurisdiction once incorporation completes.
Where we agree a written scope or contract with you for a specific project, that document governs the engagement and takes precedence over anything on this page.
2. The website is information, not an offer
Nothing on this website is a binding offer, a quotation, a warranty, or a guarantee of any particular outcome.
Service descriptions, timelines, integrations and examples are indicative starting scopes intended to help you understand how we work. What we would actually build for you is defined only in a written scope produced after discovery.
We do not publish prices. Any figure we give you follows discovery and is tied to a specific written scope.
3. How engagements work
Our standard commercial sequence is:
- A free introductory call of approximately 30 minutes, at no cost and with no obligation on either side.
- A paid discovery stage, in which we map your process. Where stated in writing, the discovery fee is credited against an approved build.
- A fixed-price build against a written scope, with agreed acceptance criteria.
- Handover, including documentation, training and an agreed support period.
4. Scope, changes and costs outside scope
Work outside the signed scope is quoted separately before it begins. Two planned revision rounds are included where applicable.
Subscriptions, hosting, domain fees, API and model usage, messaging charges, payment gateway fees and third-party plugins are paid by you, in accounts held in your name. We do not mark these up, and we are not responsible for changes to their pricing.
Copywriting, translation, photography, video, paid themes, premium plugins, product data entry and advanced search optimisation are outside scope unless specifically included in writing.
Taxes are added where legally applicable.
5. Your responsibilities
Delivery depends on your input. To build what we have agreed we need timely access to the systems in scope, decisions from a named owner, and accurate information about how your process actually works.
You are responsible for the lawfulness of the data you ask us to process, for obtaining any consents your own customers must give, and for telling us about confidentiality obligations that apply to material you share with us.
Delays in access, decisions or information may move agreed dates.
6. Intellectual property and ownership
On full payment, you own the final workflow, website, configuration and content we deliver, together with the accounts created in your name.
We retain ownership of our pre-existing tools, internal libraries, templates and general know-how, and of anything we developed before or independently of your project. Where any of that is embedded in what we deliver, you receive a perpetual, non-exclusive licence to use it as part of the delivered system.
Third-party software and services remain the property of their owners and are subject to their own licences and terms.
We may describe the work anonymously as a reference unless you ask us in writing not to. We will never publish your name, your customers' details or your confidential material without written permission.
7. Confidentiality
We treat your business information, customer data, pricing rules and technical material as confidential, and will not disclose it except to deliver the work or where required by law.
We are willing to sign a mutual confidentiality agreement before you share anything, and we would rather you asked for one than sent us something you were uneasy about.
8. What we do not claim
We do not guarantee revenue increases, conversion rates, cost savings, or any percentage improvement. Where we give a value estimate, it states its baseline, its assumptions, its confidence level and a review date, and it remains an estimate.
Systems that use AI models can produce imperfect, incomplete or incorrect output. This is precisely why every system we build routes consequential actions — pricing, scope, deadlines, commitments to customers — through a human approval step. You are responsible for the decisions your team approves.
We do not provide legal, financial, tax or regulatory advice, and nothing we deliver should be relied on as such.
9. Third-party services
Delivered systems typically depend on third-party platforms, AI model providers, messaging services and hosting. Those services set their own terms, availability, pricing and rate limits, and may change or withdraw features.
We are not liable for interruption, data loss, price changes or discontinuation caused by a third-party provider, though we will help you respond to it.
10. Warranties and liability
We deliver with reasonable skill and care, and we correct defects reported within the agreed support window at no additional cost.
Except where the law does not permit it to be limited, our total liability arising out of or in connection with an engagement is limited to the fees you have paid us for that engagement.
We are not liable for indirect or consequential loss, loss of profit, loss of business, or loss of data, nor for losses arising from changes made to a delivered system by you or by a third party after handover.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
11. Suspension and termination
Either party may end an engagement in writing. If you end it before completion, you pay for work performed up to that point, and we hand over what has been produced.
We may suspend work if invoices are overdue, if required access is withheld, or if we are asked to do something unlawful or outside what we consider safe to build.
12. Acceptable use of this website
Do not attempt to gain unauthorised access to this site or the systems behind it, interfere with its operation, or use it to send unlawful, abusive or misleading content through the enquiry form.
We may block access where necessary to protect the site.
13. Changes to these terms
We may update these terms from time to time. The date at the top of this page shows when it was last revised, and the version in force for an engagement is the one current when the scope was signed.
14. Governing law
The governing law and jurisdiction for engagements will be stated in the written agreement for each project, and will be set out here once RazzStack is incorporated. We will not rely on an unstated jurisdiction to your disadvantage.
Questions about these terms
If anything here is unclear or does not work for your business, ask us before you sign anything. Use the enquiry form and we will explain it in plain language.
